Laurentian Bank posts near-zero profit as sale nears close

Laurentian Bank of Canada reported net income of just $1.5 million for the third quarter, a sharp drop from $37.5 million in the same period a year earlier. The Montreal-based lender absorbed $36.0 million in pre-tax adjusting costs tied to its dual-sale restructuring.

The results, covering the quarter ended July 31, translated to a diluted loss per share of $0.08, compared with diluted earnings per share of $0.73 in the third quarter of 2025, a year-over-year swing of $0.81 per share.

On an adjusted basis, which strips out one-time transaction costs, the bank earned $28.0 million, or $0.51 per diluted share, down from an adjusted $39.6 million, or $0.78 per share, in the prior-year period.

Adjusted return on common equity fell to 3.6% in the quarter, from 5.4% a year earlier.

Transformation costs compound across the year

The quarterly results reflect a pattern that has defined Laurentian's 2026 fiscal year. For the nine months ended July 31, the bank recorded a net loss of $39.5 million and a diluted loss per share of $1.16, compared with net income of $108.4 million and diluted earnings per share of $2.17 for the same period in 2025.

Adjusting items of $169.2 million ($124.4 million after taxes), or $2.78 per share, drove the bulk of that swing, with the costs primarily linked to the December 2025 transaction announcements.

Adjusted net income for the nine-month period was $84.9 million, or $1.62 per diluted share, down from $113.0 million and $2.28 per share in 2025. The bank's adjusted return on common equity for the nine-month period was 3.9%.

A split sale nears completion

Under the December 2025 arrangement, Fairstone Bank of Canada agreed to acquire all of Laurentian's common shares for $40.50 each in cash, a deal valued at approximately $1.9 billion.

Separately, the National Bank of Canada will acquire Laurentian's personal and small-and-medium-sized enterprise banking portfolios at roughly book value. The split was approved by the federal finance minister in June and is expected to close before year-end.

Brokers who rely on Laurentian for alternative or commercial lending referrals will want to monitor how the consolidation of Canada's banking landscape reshapes their lender access options.

Laurentian has historically served as an important channel for Quebec-based commercial deals, and the transition of its retail book to National Bank could shift broker relationships in that market.
